DIP Holding IPO opens for subscription on October 27, with DFM listing expected on November 11.

Dubai: Dubai Investments is set to offer a 20 per cent stake in DIP Holding through an initial public offering (IPO), giving investors an opportunity to acquire shares in the company that manages ground leases and services at Dubai Investments Park.
According to the offering documents, subscriptions will open on October 27 and close on November 3, with shares expected to begin trading on the Dubai Financial Market (DFM) on November 11.
The IPO will involve the sale of approximately 1.74 billion existing shares owned by Dubai Investments. Following the offering, the parent company is expected to retain an 80 per cent stake in DIP Holding, provided the offering size remains unchanged and all shares are allocated.
Retail investors participating in the public subscription tranche can apply with a minimum investment of Dh5,000, with additional subscriptions accepted in increments of Dh1,000.
The indicative offer price range will be announced on October 27, ahead of the subscription period, while the final offer price is scheduled to be confirmed on November 4.
What investors will own
DIP Holding owns Dubai Investments Park Development Company, which operates Dubai Investments Park, a major mixed-use development comprising industrial, logistics, commercial and residential areas.
The company’s business is centred on ground lease income and services provided across the development, according to the offering documents.
Strategically located along Sheikh Mohammed Bin Zayed Road, near Al Maktoum International Airport and Jebel Ali Port, Dubai Investments Park comprises approximately 1,270 plots.
The development accommodates around 1,000 tenants, 5,700 subtenants and more than 150,000 residents, according to the IPO documents.
DIP Holding also generates recurring income from services provided to tenants and businesses operating within the development.
Average occupancy rates for ground leases remained at approximately 98 per cent between 2020 and 2025, reflecting consistently high demand for space within the park.
Unlike an IPO involving the issuance of new shares, this offering consists entirely of existing shares being sold by Dubai Investments. As a result, the transaction will reduce the parent company’s ownership stake rather than raise fresh capital directly for DIP Holding.
How the IPO shares will be allocated
The offering is divided into four subscription categories, each with its own allocation and minimum investment requirements.
The first tranche, reserved for public subscription, represents 5 per cent of the total offering, equivalent to approximately 86.76 million shares.
Investors applying under this category are eligible for a minimum allocation of 2,000 shares, subject to the number of shares requested and overall availability.
This minimum share allocation is separate from the Dh5,000 minimum subscription amount.
The second tranche, intended for eligible investors meeting the relevant subscription criteria, accounts for 92 per cent of the offering, representing approximately 1.60 billion shares. The minimum investment required is Dh1 million.
A third tranche, reserved for eligible employees of the Dubai Investments group, represents 1 per cent of the offering and carries a minimum subscription amount of Dh1,000.
The fourth tranche is allocated to eligible Dubai Investments shareholders, accounting for 2 per cent of the offer, with a minimum application amount of Dh5,000.
The selling shareholder retains the right to adjust the overall offering size and redistribute shares between subscription categories, subject to applicable regulations and regulatory approval.
According to the offering documents, there is no maximum subscription amount for investors.

Refunds of excess subscription amounts are also expected to begin on the same day, along with SMS notifications informing successful applicants of their allocations.
IPO pricing yet to be announced
The final offer price will be established through a bookbuilding process, which determines the share price based on subscription orders received from investors participating in the second tranche.
DIP Holding shares have a nominal value of Dh0.20 each. However, this represents their stated share-capital value and should not be confused with the actual IPO subscription price.
The offering documents have not yet disclosed the final share price, total proceeds from the sale or an expected dividend yield. These figures cannot be determined from the company’s nominal share value alone.
According to the offering documents, DIP Holding has a six-member board of directors chaired by Khalid Jassim Mohd Bin Kalban.
All six board members serve in non-executive roles, with three classified as independent directors.
