DIP Holding IPO: How UAE investors can subscribe for shares with just Dh5,000

Date:

DIP Holding IPO: Key subscription dates, DFM investor number requirements and payment procedures explained.

Dubai: UAE residents interested in investing in DIP Holding’s initial public offering (IPO) can subscribe through the public subscription tranche starting October 27, with a minimum investment of Dh5,000. The subscription period will close on November 3.

Dubai Investments is offering a 20 per cent stake in DIP Holding, which owns the company responsible for operating Dubai Investments Park. Shares are expected to begin trading on the Dubai Financial Market (DFM) on November 11.

However, submitting an IPO application does not guarantee that investors will receive shares equal to the amount they subscribe for. Final allocations will depend on demand and the offering’s allocation rules, with any excess subscription funds refunded after allotment.

Here is a step-by-step guide to applying for DIP Holding IPO shares in the UAE.

1. Obtain your DFM investor number

Before applying for the IPO, you must have a Dubai Financial Market Investor Number, commonly referred to as a NIN. This unique number identifies investors and their holdings on the exchange.

You can apply for a NIN through the DFM mobile app or an authorised broker. The offering documents also list banking platforms that support investor number registration, including Wio and the Mbank UAE app.

Make sure your identification documents are ready before starting the application.

For individual investors, the subscription notice requires NIN details along with the original and a copy of a valid passport or Emirates ID. Applicants using digital platforms must complete the identification procedures specified by their chosen service provider.

2. Choose your preferred subscription channel

Investors can apply through the DFM IPO subscription platform, the DFM mobile app or the DFM iVESTOR application.

Applications can also be submitted through participating banks, although available services and account requirements may vary.

The receiving banks named in the offering documents are:

  • Emirates NBD
  • Abu Dhabi Commercial Bank (ADCB)
  • Abu Dhabi Islamic Bank (ADIB)
  • Dubai Islamic Bank (DIB)
  • Emirates Islamic
  • First Abu Dhabi Bank (FAB)
  • Wio

Once you select your preferred platform, follow the instructions to enter your DFM investor number, choose the DIP Holding IPO and provide the necessary banking and account information.

Depending on the bank or platform, you may also need to specify the brokerage account where your allotted shares will be credited.

3. Decide how much you want to invest

For retail investors applying through the public subscription tranche, the minimum application amount is Dh5,000.

Additional investments must be made in increments of Dh1,000. This means you can apply for Dh6,000, Dh7,000, Dh8,000 or higher amounts.

The offering documents do not specify a maximum subscription amount.

However, investors should submit only one application in the same capacity, as duplicate applications may be rejected.

Separate subscription categories are available for eligible Dubai Investments group employees and qualifying Dubai Investments shareholders.

The minimum investment for eligible employees is Dh1,000, while qualifying shareholders can apply from Dh5,000.

4. Check the IPO price before subscribing

The indicative IPO price range is expected to be announced on October 27, ahead of the opening of subscriptions.

The final offer price will be confirmed on November 4, following the close of the subscription period.

According to the offering documents, DIP Holding shares have a nominal value of Dh0.20 each.

However, this figure represents the accounting value assigned to the company’s share capital and should not be confused with the actual price investors will pay for shares in the IPO.

Investors should review the announced price range and relevant offering details before submitting their applications.

5. Make your payment before the deadline

Subscription deadlines vary depending on the payment method, meaning some investors will need to complete their applications before the official subscription closing date of November 3.

Here are the key payment deadlines:

  • Cheque payments: Applications must be submitted by 1pm on October 31.
  • Bank transfers through PGS, FTS and SWIFT: Applications must be completed before 1pm on November 2.
  • ATM, internet banking, mobile banking apps and website applications: The deadline is 1pm on November 3.

Before submitting your application, ensure that all required details are accurate and that sufficient funds are available in your bank account.

Once the application is completed, retain your subscription confirmation or acknowledgement for future reference and to track your share allocation.

6. Check your share allocation and refund status

Share allocations for investors applying through the public subscription tranche are scheduled to be announced on November 10.

Successful applicants are expected to receive SMS notifications confirming their allocations, while refunds of excess subscription amounts are also scheduled to begin on the same day.

Under the offering terms, each subscriber in the public category is eligible for a minimum allocation of 2,000 shares, subject to the number of shares requested and the total shares available in the tranche.

This minimum share allocation is separate from the Dh5,000 minimum subscription requirement and remains subject to the conditions outlined in the offering documents.

Investors who receive fewer shares than they applied for will have the remaining subscription amount refunded in accordance with the IPO’s allocation and refund procedures.

7. Get ready for the DFM listing

DIP Holding shares are expected to begin trading on the Dubai Financial Market (DFM) on November 11.

Once the shares have been allotted and become available for trading, investors can choose to retain their holdings or place a sell order through their broker.

However, investors should remember that share prices can fluctuate after listing, and the market price may differ from the final IPO offer price.

Before subscribing, investors are advised to carefully review the company’s prospectus, including its business operations, financial performance and potential risks.

The subscription documents alone do not provide sufficient information to determine DIP Holding’s valuation or estimate potential investment returns.
