ADIB Announces Dh1.75 Billion Rights Issue: Important Dates Shareholders Need to Know

Date:

ADIB Shareholders Can Subscribe to New Shares at Dh16.45 Each Between November 10 and 24.

Abu Dhabi: Abu Dhabi Islamic Bank (ADIB) has announced the important dates and subscription details for its upcoming rights issue, through which the bank plans to raise up to Dh1.75 billion to strengthen its capital position and support future expansion.

The announcement follows shareholder approval for the proposed capital increase during the bank’s General Assembly meeting on October 6, 2026. ADIB has also secured the necessary regulatory approvals from the Central Bank of the UAE and the Capital Market Authority.

Under the proposed transaction, the bank will issue up to 106,383,000 new ordinary shares through a tradable rights offering.

The capital increase will raise ADIB’s issued share capital from Dh3.632 billion to a maximum of Dh3.738 billion.

The fundraising initiative forms part of the bank’s long-term development strategy under Vision 2035, which focuses on supporting business growth, maintaining a strong capital position and delivering sustainable value to shareholders.

Shareholder Eligibility and Subscription Price

Shareholders whose names appear on ADIB’s shareholder register on November 2, 2026, will qualify to receive subscription rights.

Eligible investors will be allocated one right for every 34.14 existing ADIB shares they own.

Each right will allow its holder to subscribe for one newly issued ADIB share at a price of Dh16.45.

The subscription price consists of a nominal share value of Dh1 and a share premium of Dh15.45.

According to the bank, the offering price represents a 28.8 per cent discount compared with ADIB’s closing share price on August 24, 2026.

Important Dates for ADIB Shareholders

Investors seeking to qualify for the rights allocation must ensure that their purchases of ADIB shares are completed no later than October 29, 2026.

This deadline accounts for the two-day settlement process on the Abu Dhabi Securities Exchange (ADX), allowing purchased shares to be officially registered before the November 2 eligibility date.

Eligible shareholders will have the opportunity to trade their allocated rights on ADX between November 4 and November 16, 2026.

During this trading window, investors may either purchase additional rights or sell their existing rights through the exchange, providing flexibility in how they participate in the bank’s capital increase.

Shareholders who decide not to participate in the subscription process can sell their allocated rights to other investors during the designated trading period.

Investors who choose not to exercise their subscription rights will continue to hold their existing ADIB shares. However, their proportionate ownership in the bank will decrease once the newly issued shares are allotted and listed on the exchange.

ADIB Prepares for Its Next Stage of Expansion

Mohamed Abdelbary, Group Chief Executive Officer of Abu Dhabi Islamic Bank, highlighted that the bank is moving into its next phase of development with a strong financial foundation and positive performance across its business operations.

He explained that the proposed capital increase would provide additional financial strength to pursue emerging growth opportunities while supporting the objectives of ADIB’s Vision 2035 strategy.

Abdelbary emphasised that maintaining a solid capital position remains a priority as the bank continues expanding its operations and pursuing long-term business opportunities.

He also welcomed the opportunity for existing shareholders to participate in the capital increase and benefit from the bank’s continued development and long-term value creation.

Multiple Subscription Options Available for Shareholders

ADIB will serve as the sole receiving bank for the rights issue, providing eligible investors with several channels to complete their subscriptions.

Shareholders will be able to apply for new shares through the Abu Dhabi Securities Exchange (ADX) ePortal or by visiting participating ADIB branches.

Existing ADIB account holders will also have the option to subscribe electronically through the ADIB Mobile App using their current digital banking login credentials.

These subscription methods are intended to make the process more accessible and convenient for eligible investors.
